BrandBoxy Terms of Service
Effective date: 2026-07-24 · Provider: [legal entity — TBD] · The current published version governs continued use; see Section 18.
1. Acceptance and Business Use
By creating an account, selecting an acceptance checkbox, purchasing a subscription, or using BrandBoxy, the person accepting these Terms agrees to them on behalf of the relevant business or professional activity and confirms that they have authority to do so.
BrandBoxy is not offered for personal, family, or household use. The Customer must be legally capable of entering into this agreement and must use BrandBoxy only in the course of lawful business or professional activity.
2. Definitions
"Customer" means the business, professional, or authorized representative that registers for or pays for BrandBoxy.
"Customer Materials" means data, text, documents, images, video, audio, trademarks, instructions, databases, and other materials submitted by or for the Customer.
"Generated Content" means a separate article, text, image, video, page, document, or other output created, transformed, or prepared through BrandBoxy at the Customer's direction.
"Content Creation Fee" means the separate price shown for a Generated Content item. If no separate price is shown, it equals the subscription fee paid for the billing period in which the item was created divided by the number of Generated Content items created during that period, but never more than the subscription fee for that period.
"Technical Connection" means any infrastructure or integration through which content is displayed, delivered, synchronized, updated, hosted, proxied, or published by BrandBoxy.
"Third-Party Platform" means any website, hosting provider, content management system, advertising platform, social network, payment provider, storage provider, or other service not controlled by BrandBoxy.
3. Account Registration and Security
The Customer must provide accurate information, keep it current, protect account credentials, and promptly notify BrandBoxy of suspected unauthorized access. The Customer is responsible for activity performed through its account by employees, contractors, and other authorized users.
BrandBoxy may request information reasonably necessary to verify identity, authority, business location, ownership, payment source, legal compliance, sanctions status, or permitted use. Accounts may not be transferred without BrandBoxy's written consent.
4. Subscription, Payment, and Taxes
Subscription fees and billing periods are shown during checkout. Unless otherwise stated at checkout, subscriptions renew automatically for successive billing periods until cancelled.
The Customer authorizes BrandBoxy and its payment providers to charge all applicable fees. Fees are non-refundable except where required by law. The Customer is responsible for applicable taxes, duties, and governmental charges other than taxes imposed on BrandBoxy's net income.
Charges imposed by Third-Party Platforms are separate from the BrandBoxy subscription unless expressly stated otherwise during checkout.
5. Access to BrandBoxy
During an active paid subscription, BrandBoxy grants the Customer a limited, revocable, non-exclusive, non-transferable right to use the service in accordance with these Terms.
The Customer must not copy, reverse engineer, decompile, bypass technical restrictions, extract internal instructions, resell access without permission, interfere with security, or use BrandBoxy to build or train a competing service.
6. Customer Materials and Generated Content
The Customer retains all rights in Customer Materials and grants BrandBoxy a limited worldwide license to host, process, transform, transmit, display, and publish them only as necessary to provide BrandBoxy, follow the Customer's instructions, maintain security, and comply with law.
BrandBoxy uses third-party AI providers as tools to generate and transform output at the Customer's direction, and does not use Customer Materials to train models of its own. The AI providers currently used are identified in the BrandBoxy Subprocessors list, which may change as the service evolves. Under those providers' applicable terms, Customer Materials submitted through their services are not used to train the providers' own models.
After payment for the applicable subscription period, BrandBoxy assigns to the Customer all rights that BrandBoxy may lawfully transfer in Generated Content created during that paid period. This assignment does not include BrandBoxy software, systems, models, algorithms, methods, templates, libraries, workflows, know-how, or other underlying technology.
The Customer may download and continue to use paid Generated Content after the subscription ends. BrandBoxy does not guarantee that Generated Content will qualify for intellectual-property protection, be exclusive, or be dissimilar to material created for others. Third-party components remain subject to their applicable terms and licenses.
The Customer must review Generated Content before use and is solely responsible for factual accuracy, legal compliance, professional requirements, permissions, substantiation, and suitability for the Customer's intended purpose.
7. Publication and Third-Party Platforms
When the Customer connects a Third-Party Platform, the Customer authorizes BrandBoxy to act within the permissions granted by the Customer. The Customer confirms that it has lawful access to the relevant account and will comply with the platform's rules.
BrandBoxy does not control and is not responsible for the availability, moderation, indexing, ranking, suspension, fees, policies, or data retention of Third-Party Platforms.
Content published to the Customer's accounts on Third-Party Platforms may remain there after the BrandBoxy subscription ends. Its continued availability is governed by the Customer and the Third-Party Platform. After disconnection, BrandBoxy may no longer be able to update or remove that content.
8. Cancellation, Technical Connections, and Export
When the paid subscription ends, access to BrandBoxy and all Technical Connections ends. This includes content delivery or display through BrandBoxy infrastructure, managed subdomains, reverse proxies, synchronization, streaming, and other hosted or connected delivery methods.
Ending Technical Connections does not affect the Customer's ownership of paid Generated Content. The Customer may download available Customer Materials and Generated Content for 30 days after the subscription ends. After that period, BrandBoxy may delete or anonymize them from active systems unless retention is required by law.
BrandBoxy has no obligation after termination to host, display, maintain, update, synchronize, or technically deliver content. Content already published on Third-Party Platforms is not automatically removed.
9. Lawful Activity and Acceptable Use
The Customer may use BrandBoxy only for activity that is lawful in the country where the Customer is registered, every country where the Customer operates, and every territory targeted by its content, advertising, offers, or communications. The Customer must hold all licenses, registrations, permissions, and consents required for its business and marketing.
BrandBoxy may refuse, restrict, suspend, or terminate any use that reasonably presents legal, sanctions, security, operational, or reputational risk. For activities prohibited under Section 9.1, BrandBoxy may act immediately and without prior notice, and may remove or disable the affected content, Technical Connections, and accounts.
9.1 Prohibited Activities
- Criminal activity, fraud, deception, phishing, theft, money laundering, unlawful financial schemes, or misappropriation of funds.
- Terrorism, violent extremism, recruitment for violent organizations, human trafficking, promotion of violence, or incitement of hatred.
- Child sexual abuse material, sexual exploitation, non-consensual intimate content, or exploitation of vulnerable persons.
- Malware, ransomware, spyware, credential theft, unauthorized hacking, unlawful surveillance, or circumvention of security controls.
- Unlawful trade in weapons, explosives, narcotics, controlled substances, stolen goods, or counterfeit goods.
- Evasion of sanctions, export controls, payment restrictions, or concealment of the true customer, end user, beneficial owner, or destination.
- Political campaigning, election activity, lobbying, political fundraising, geopolitical influence, or issue advocacy.
- Fake reviews, fabricated testimonials, impersonation, forged evidence, unlawful mass messaging, unlawful collection of personal data, or other materially misleading practices.
10. Sanctions and Export Controls
The Customer represents that neither the Customer nor any owner, controller, beneficiary, end user, or person acting for the Customer is subject to sanctions or restrictions applicable to BrandBoxy, its payment providers, infrastructure providers, or the relevant transaction.
The Customer must not access or use BrandBoxy from, for, or on behalf of a territory or person that BrandBoxy is prohibited or unwilling to serve due to sanctions, export controls, payment restrictions, legal exposure, or compliance risk. The Customer must not conceal location, ownership, control, beneficiary, end use, or destination.
BrandBoxy may decline registration, request verification, block payments, suspend access, or terminate an account whenever BrandBoxy reasonably considers the Customer, territory, ownership structure, transaction, or use to present sanctions, export-control, legal, or reputational risk.
11. Customer Representations and Responsibilities
The Customer represents and warrants that it has all rights, licenses, permissions, consents, and lawful grounds required for Customer Materials, connected accounts, contact lists, publications, and instructions provided to BrandBoxy.
The Customer is responsible for all claims, offers, prices, guarantees, comparisons, testimonials, professional statements, regulatory disclosures, and communications distributed or published through the Customer's use of BrandBoxy.
The Customer must not instruct BrandBoxy to violate law, third-party rights, platform rules, professional obligations, or contractual duties.
12. BrandBoxy Intellectual Property
BrandBoxy and its licensors retain all rights in the service, software, interfaces, systems, models, algorithms, methods, templates, workflows, designs, documentation, know-how, and improvements. No rights are granted except the limited right to use BrandBoxy during an active subscription.
13. Confidentiality
Each party must protect non-public information disclosed by the other party using at least reasonable care and may use it only for the agreement. Confidentiality does not apply to information that is public without breach, independently developed, lawfully received from another source, or required to be disclosed by law.
14. Disclaimers
BrandBoxy is provided on an "as is" and "as available" basis to the maximum extent permitted by law. BrandBoxy disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, uninterrupted availability, and error-free operation.
BrandBoxy does not guarantee publication acceptance, search ranking, indexing, traffic, conversion, leads, sales, revenue, advertising performance, continued availability of Third-Party Platforms, or any particular business result.
15. Limitation of Liability
To the maximum extent permitted by law, BrandBoxy is not liable for indirect, incidental, special, exemplary, punitive, or consequential loss, or for lost profits, revenue, business opportunity, goodwill, anticipated savings, or data, even if advised that such loss was possible.
For any claim arising solely from a specific Generated Content item, BrandBoxy's total liability will not exceed the greater of the Content Creation Fee attributable to that item or USD [minimum — TBD].
For all other claims arising out of or relating to BrandBoxy or these Terms, BrandBoxy's aggregate liability will not exceed the subscription fees actually paid by the Customer during the three months immediately preceding the event giving rise to the claim.
These limitations apply in aggregate, regardless of the form of action, and do not exclude liability that cannot lawfully be excluded or limited.
16. Third-Party Claims and Indemnification
The Customer must promptly use its best efforts to obtain the withdrawal, dismissal, or resolution of any third-party claim made against BrandBoxy arising from the Customer's business, Customer Materials, instructions, publications, communications, connected accounts, use of Generated Content, breach of these Terms, or violation of law or third-party rights.
The Customer will defend, indemnify, and hold harmless BrandBoxy and its personnel, contractors, and service providers from such claims, losses, damages, judgments, penalties, liabilities, and reasonable legal costs. The Customer may not settle a claim in a manner that admits fault by or imposes obligations on BrandBoxy without BrandBoxy's written consent.
BrandBoxy will provide reasonable notice of the claim and reasonable cooperation at the Customer's expense. This obligation does not apply to the extent a claim results solely from BrandBoxy's intentional misconduct.
17. Suspension and Termination
BrandBoxy may suspend or terminate access immediately if the Customer fails to pay, breaches these Terms, creates security or legal risk, is subject to sanctions concerns, misuses BrandBoxy, harms BrandBoxy or others, or if continued service is restricted by a Third-Party Platform or provider.
The Customer may cancel renewal through the account interface. Provisions concerning ownership, payment, confidentiality, disclaimers, liability, indemnification, export, sanctions, and disputes survive termination where their nature requires.
18. Changes to These Terms
BrandBoxy may update these Terms. Material changes will be communicated through the service or by email. Continued use after the stated effective time of an update constitutes acceptance. If the Customer does not accept a material update, the Customer must stop using BrandBoxy and cancel the subscription.
19. Governing Law and Courts
These Terms and any non-contractual obligations arising from them are governed by the laws of the United Arab Emirates. The courts of the United Arab Emirates having competent jurisdiction have exclusive jurisdiction over any dispute arising out of or relating to BrandBoxy or these Terms.
20. General Terms
These Terms, the BrandBoxy Privacy and Cookie Policy, and the BrandBoxy Data Processing Addendum form the entire agreement concerning the Customer's use of BrandBoxy. If any provision is unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will remain effective.
The Customer may not assign this agreement without BrandBoxy's written consent. BrandBoxy may assign it in connection with a reorganization, merger, acquisition, financing, or transfer of the service or substantially all related assets. Failure to enforce a provision is not a waiver.
Questions and legal notices regarding these Terms must be sent to [email protected].
